Types of business entities available in Bulgaria

These are the types of businesses that can be registered in Bulgaria:

  • Limited liability company (Ltd.)

Consist only of limitedly liable shareholders. The minimum capital is in the amount of 1 EUR. This is the most widely spread type of a business entity in Bulgaria.

  • Branch of a foreign company

Treated as an extension of the foreign company and affects unlimited liabilities for the foreign company.

  • Joint stock company (JSC)

Consists of limited liability shareholders. The minimum capital is in the amount of 25,000 EUR.

  • Partnership limited per shares

Consists of limitedly and unlimitedly liable partners. A minimum of 4 partners are required.

  • General partnership

Consists only of unlimitedly liable partners. A minimum of 2 partners are required.

  • Limited partnership

Consists of limitedly and unlimitedly liable partners. At least 1 person of the partners shall be unlimitedly liable.
